Terms of Service

Draft — not yet in force
This document has not yet been approved by Jenix Labs (SMC-Private) Limited or reviewed by a lawyer. Highlighted boxes mark decisions that are still open.
These terms are between Jenix Labs (SMC-Private) Limited ("we", "us") and the business that licenses Faro POS ("you", "the workshop").
1. These terms
By installing or using Faro POS, or the owner web portal, you agree to these terms. If you agree on behalf of a business, you confirm that you are authorised to do so.
"The software" means the Faro POS desktop application, the owner web portal, and any related service we provide.
2. What the software does
Faro POS is point-of-sale and management software for automotive workshops and oil-change shops. It handles billing, stock, purchases, customer accounts and receivables, printing, reporting and — where you choose to use it — messaging your customers on WhatsApp.
It runs on your own Windows computer, and billing works without an internet connection. The software must reach our licence server at least once every 14 days; if it cannot, it becomes read-only until it does. Online features (sync, backup, the owner portal, WhatsApp) need a connection and depend on your plan.
3. Your licence
We grant you a non-exclusive, non-transferable licence to use the software for your own business for as long as your subscription is current and you comply with these terms. Each counter — each computer running the software — needs its own activation, within the limits of your plan.
You may not resell, sublicense or rent the software; reverse-engineer it or try to derive its source code; remove our notices; or use it to build a competing product. We keep all intellectual property in the software. Your business records are yours.
4. Your account
You are responsible for your sign-in details and for everything done under your account. Tell us promptly if you think someone else has access. You are responsible for the accuracy of what you enter, and for having the right to hold the customer information you enter.
5. Fees and payment
Fees, the billing period and what is included are set out in your plan and on our pricing page. Prices are set in US dollars, in one price list for every country. Subscriptions are billed monthly or annually.
Fees are payable in advance. There is no general money-back guarantee; cancelling and refunds are covered in section 12 and in our Refund Policy.
If a payment fails, we tell you by email and with a notice, and you have 7 days to pay. After that, operational access is put on hold until the payment goes through, and it is restored automatically when it does. Your records are not deleted while access is on hold.
Decision needed: On which days within the 7 days payment reminders are sent (the system currently sends them on days 3 and 6).
We may change our prices with 30 days’ notice. A change does not affect a period you have already paid for.
New subscriptions bought online start with a one-month free trial.
Decision needed: Whether starting the free trial requires a payment method, and so whether the trial converts to a paid subscription automatically when it ends.
We do not charge you for WhatsApp messages. See section 7.
6. Online orders
This section applies when you buy a subscription online. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
To buy online, you first confirm your email address with a code we send to it. Your account is created only after Paddle confirms the purchase to us. You manage your subscription, payment method and invoices from the Billing page of the owner portal, which opens Paddle’s secure pages; we never collect or store your card details.
Paying by bank transfer against an invoice is not offered at launch.
Online payment is not open yet. Until it is, subscriptions are arranged with us directly.
7. WhatsApp
Messages go out from your WhatsApp Business account, under your business name, to your customers, and your customers reply to you. You connect your own payment method to that account, and Meta charges you directly for the messages you send. We do not bill you for messages, resell them or hold message credit for you. Any cost the software shows is our estimate of what Meta will charge.
By connecting a WhatsApp account you also agree to Meta’s terms, including the WhatsApp Business Terms of Service and the WhatsApp Business Messaging Policy. In particular, you are responsible for:
- Getting a customer’s agreement before sending them promotional messages. The software records each customer’s choice, but the agreement itself must be real.
- Honouring requests to stop. When a customer asks not to be messaged, mark them as opted out; the software then stops all messages to them.
- The content of your messages, and its accuracy and legality.
- The standing of your account with Meta. Meta may limit or disable a number whose messages are blocked or reported; we cannot reverse Meta’s decisions.
We cannot guarantee that a message will be delivered, that Meta will approve a message template, or that Meta will not restrict your number.
The software can also connect a number by scanning a code from your phone. This method is not supported by WhatsApp, and numbers that send heavily this way are sometimes blocked by WhatsApp. If you use it, you accept that risk to your own number. We recommend the official connection.
Decision needed: Keep or remove the phone-link (unofficial) WhatsApp option from the product and from these terms.
8. Your data and backups
Your primary copy is on your own computer, and you are responsible for keeping that computer and its data safe. Where your plan includes our backup feature, backups are encrypted and stored with our hosting provider. We take reasonable care of them but cannot guarantee that every backup can be restored, and backups are not a substitute for your own care of the computer.
You can export reports and documents from the software at any time. If you stop using the software, ask us and we will help you obtain a copy of your records in a portable format within 30 days.
9. Availability, support and updates
We aim to keep the online services available but do not promise uninterrupted service. Cloud outages do not stop billing: the desktop software keeps working and you can sync when the connection returns.
We provide support through the channels on our contact page. We offer updates from time to time; some updates may be required to keep using the online features. We may change or discontinue a feature, with reasonable notice where a change materially reduces what you have.
10. Acceptable use
Do not use the software to break the law, to send unlawful or misleading messages, to message people without their agreement where it is required, to interfere with our systems, or to access another business’s data. We may suspend an account that does, telling you first where we can.
11. Liability
Nothing here limits liability that cannot be limited by law. Subject to that: the software is provided as it is; we are not liable for indirect or consequential loss, including lost profits or messages Meta refused to deliver; and our total liability in any 12-month period is limited to the fees you paid us in that period. We are not liable for things outside our reasonable control, including internet or power failures and actions of Meta, Google, Paddle or our hosting providers.
12. Ending the agreement
You can cancel a monthly subscription at any time; it ends at the end of the month you have paid for, and the month in progress is not refunded. You can cancel an annual subscription by request, and the unused portion of the year you paid for is refunded through Paddle. The details are in our Refund Policy.
Decision needed: When an annual cancellation takes effect — on the date of the request, or at the end of the current billing month.
We may end your licence if you materially breach these terms and do not fix the breach within 30 days of being told, or immediately if you use the software unlawfully. When the licence ends, online access stops and the desktop software becomes read-only.
13. Changes, law and contact
We may update these terms; material changes take effect 30 days after we tell you. These terms are governed by the laws of Pakistan, and the courts at Multan have jurisdiction.
